Welcome to Nature & Neon. These Terms & Conditions ("Terms") govern the use of our website https://www.natureandneon.com and the provision of our specialised B2B cross-cultural corporate planning, international itinerary logistics and professional consultancy services. By accessing our website or engaging our services, you ("the Client") agree to be bound by these Terms.


1. Scope of Services
Nature & Neon Ltd ("the Company," "we," "us") operates as an international cultural consultancy and B2B corporate logistics facilitator. We design custom cross-cultural educational itineraries, corporate planning frameworks and executive on-the-ground regional logistics between the United Kingdom and Mainland China (specifically the Chongqing region). We are not a retail travel agency, public booking aggregator, or common carrier. Our services are tailored exclusively to corporate clients, institutions and business professionals on a bespoke contract basis.


2. Form of Engagement and Contracts
Bespoke Proposals: All engagements begin with a tailored corporate project or itinerary proposal.
Contractual Finality: A binding agreement is only established when the Client formally signs a specific Service Level Agreement (SLA) or Project Order Confirmation and the required initial deposit or fee is cleared.
Modifications: Any changes requested by the Client after contract signing regarding dates, itinerary parameters, or logistics coordination may incur administrative fees, subject to the conditions of our in-country regional partners.


3. Client Responsibilities & Compliance
Documentation: The Client and their designated attendees are solely responsible for obtaining and maintaining valid passports, appropriate visas (such as business or cultural exchange visas), and any mandatory health or entry documentation required by the authorities of the United Kingdom and Mainland China.
Accuracy of Information: The Client must provide accurate corporate registration data, attendee identity details and logistical requirements. The Company holds no liability for logistics failures resulting from inaccurate information provided by the Client.


4. Payment Terms & Financial Transactions
Invoicing: All fees, deposits and payment schedules will be explicitly outlined in the Client’s specific project contract.
Currency and Processing: Payments must be made via authorised corporate bank transfers or credit processing channels designated by the Company. All fees are invoiced in British Pounds (GBP) unless explicitly agreed otherwise in writing.
Late Payments: Failure to fulfill payment milestones according to the agreed terms may result in the immediate suspension of logistical coordination or project cancellation.


5. Independent Local Providers
To deliver premium on-the-ground itinerary elements, the Company coordinates with independent regional partners, local hospitality hosts, transit operators and cultural liaisons in Mainland China. While we select our partners using strict quality and safety criteria, these providers operate as independent contractors. The Company shall not be held liable for any independent acts, omissions, delays, or service modifications made by these localised third-party providers.


6. Force Majeure & Itinerary Modifications
The Company shall not be liable for any failure, delay, or disruption in executing agreed itineraries or consultancy projects caused by circumstances beyond its reasonable control ("Force Majeure"). This includes, but is not limited to: acts of God, extreme weather events, natural disasters, international border closures, changes to government regulations or visa mandates, labor disputes, civil unrest, or disruptions to major international transit systems. In such events, the Company will work diligently with regional partners to mitigate disruptions or modify itineraries in the Client’s best interest.


7. Intellectual Property
All content, original itinerary structures, proprietary cultural program designs, website text, photography, and brand graphics displayed on https://www.natureandneon.com or included in custom corporate proposals are the intellectual property of Nature & Neon Ltd, or have been authorised for use by a third-party provider. No material may be reproduced, distributed, or repurposed for commercial use outside our explicit service agreements without prior written consent.


8. Limitation of Liability
To the maximum extent permitted by English law, Nature & Neon Ltd shall not be liable for any indirect, incidental, special, or consequential financial losses, loss of business opportunities, or revenue reductions arising out of or in connection with our website or professional consultancy services. Our total liability for any direct claim arising under an executed service agreement shall be strictly capped at the total amount paid by the Client to the Company for that specific project engagement.


9. Governing Law & Jurisdiction
These Terms and any dispute or claim arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of England and Wales. The Client agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim that arises out of these Terms.
